We have an immediate need for a Paralegal working in corporate transactions, particularly including emerging companies, venture capital financings, mergers and acquisitions, stock option plans, and capital market transactions. This is an extraordinary opportunity for a Paralegal to join a dynamic and supportive team of corporate and finance attorneys and staff. Servicing a broad array of clients, including technology startups, emerging growth companies, and public companies, you will enjoy a varied work experience. In this role, you will assist with handling venture capital financings, conduct blue sky research, coordinate state and federal securities, incorporation, merger and UCC filings, administer and implement stock option plans, and perform records management.

The ideal candidate must demonstrate integrity, solid attention to detail, superior communication skills, and exceptional organizational ability. Candidates must have a Bachelor’s degree, a Paralegal certificate or equivalent, and a minimum of 2-3 years of directly related work experience. Candidates must have some experience supporting VC financings and mergers and acquisitions, including working knowledge of corporate governance documents including minute books and closing binders. Knowledge of corporate minutes, capitalization tables, and stock option plan management software is a very strong plus (e.g., Corporate Focus and CapMX by Solium). Excellent computer skills are required, including Microsoft Office (Excel, Outlook, PowerPoint and Word). A California notary public commission is also a plus. Flexibility and willingness to adjust to demanding needs and changing deadlines, as well as flexibility to work overtime, is needed.
